Mariam El Masry

Mariam El Masry is a Partner in the Corporate M&A Group with extensive experience in M&A mandates. She specializes in providing legal services to both local and international clients in various corporate matters in real estate, technology, healthcare and energy sectors, with a focus on oil and gas as she has been seconded for three years with Apache Corporation and handles day-to-day affairs the Firm’s oil and gas clients. She was also actively involved in major IPOs.

Her performance in the field has earned her recognition from reputable legal directories and ranking institutions.

Mariam has been recognized as a rising star by IFLR 1000 in 2020 and 2021 and most recently as a rising star partner in 2022 and 2023. She has also been ranked in 2023 and 2024 by Chambers and Partners. Additionally, she has been shortlisted as the only candidate from Egypt for the Middle East Rising Star Award – Chambers and Partners 2023.

Representative transactions in which Mariam El Masry advised are as follows:

  • Local Counsel of APEX International Energy Holdings II in its acquisition of interests in a number of on-shore oil concessions in the Western Desert from Eni’s IOEC Production B.V.
  • Actively involved in Camel Flour Mills S.A.E in the acquisition of a majority stake in Five Stars group of companies a market leader in Egypt, specializing in the production of high-end flour brands. The complex acquisition involved significant debt restructuring and settlement with major banks.
  • Actively involved in Coca Cola HBC Holdings BV in the acquisition of approximately 94.7% of Coca Cola Bottling Company of Egypt S.A.E from its major shareholders for an agreed combined purchase price of USD 427 million subject to certain adjustments.
  • Actively involved in drafting transaction agreements on behalf of EFG Hermes and the Sovereign Fund of Egypt in their landmark transaction of restructuring and acquiring 76% of the Arab Investment Bank for a total amount of EGP 3.8 billion.
  • Actively involved in the team that acted as the Egyptian Counsel of IBM with respect to the implementation in Egypt of their separation/spin off of the IT Infrastructure Services unit of the Global Technology Services Division into Kyndryl, a new separate company listed on the NYSE.

Mariam El Masry obtained a Master I and Master II (equivalent to LL.M degree) in International and European Business Law from Paris 1 Pantheon-Sorbonne in association with Cairo University (“IDAI”) as well as a double formation in Egyptian and French Law (an LL.B in International and European Business Law with Honours from Paris 1 Pantheon-Sorbonne in association with Cairo University “Licence en Droit des Affaires Internationales et Européennes” and an LL.B in Egyptian Law from Cairo University).
