Dr. Ingy Badawy

Founding Partner – Head of Corporate and M&A Group

Dr. Badawy is a Founding Partner and Head of the Firm’s Mergers and Acquisitions Group. Dr. Badawy is also a member of the Firm’s Arbitration Group.

A practicing lawyer for more than twenty five years, Dr. Badawy specializes in Corporate Law, Mergers and Acquisitions, as well as Equity Capital Market transactions and is recognized for her in depth experience in acquisitions and joint ventures, exceptional drafting and negotiations skills of all contracts necessary for any M&A transaction particularly SPA’s, joint venture and /or shareholders agreements, subscription agreements, business transfer agreements, management agreements, escrow agreements, as well as merger and restructuring agreements. Dr. Badawy is consistently recognized by clients and leading international legal directories as a top tier leading lawyer, woman leader, problem solver and a deal maker.

Dr. Badawy played and continues to play a key role in major domestic, as well as cross border transactions, restructuring, acquisitions, IPO’s and private equity funding transactions handled by the Firm in various fields of activities, including health care, banking and finance, education, energy, FMCG as well as various other industrial sectors.

Dr. Badawy also provides Egyptian and multinational clients with valuable general corporate advice as well as ESG particularly in relation to Environmental Law.

Dr. Badawy has over the years overseen the development of the Firm’s M&A Group, leading to its steady and rapid growth into one of the most reputable in Egypt, the Middle East, and Africa recognized for its expertise and quality of services.

Representative Transactions:

  • Lead Partner representing Banque Misr in its partnership with Etislat Egypt by e& establishing Superpay, the newest entrant in the payments space in Egypt.
  • Lead Partner representing the Sovereign Fund of Egypt (through its health care and pharma sub fund) in its joint investment with B Investments and El Ezaby Pharma in EZ International, a company that will provide pharmacies with services including logistical and administrative support.
  • Lead Partner representing El Masry Family in restructuring their joint venture with Roca Group in Egypt.
  • Lead Partner representing SIKA Group in its acquisition of 50% of MBS Construction Chemicals Egypt and 4% of MBS Construction Chemical Trading from United Holding Company and Middle East Sealants & Adhesives (MESA) both indirect subsidiaries of Orascom Construction.
  • Lead Partner representing Camel Flour Mills S.A.E in the acquisition of a majority stake in Five Stars group of companies a market leader in Egypt, specializing in the production of high-end flour brands. The complex acquisition involved significant debt restructuring and settlement with major banks.
  • Lead Partner representing the majority shareholder of B.Tech for Trade and Distribution S.A. in the acquisition by SEIC of 33.4% indirect stake in B.TECH from African Development Partners II, a fund owned by Development Partners for USD 150 million.
  • Lead Partner of the team acting as Egyptian counsel for Coca Cola HBC and its wholly owned Target Coca Cola HBC Holdings BV in the acquisition of approximately 94.7% of Coca Cola Bottling Company of Egypt S.A.E from its major shareholders, a wholly owned affiliate of The Coca Cola Company and MAC Beverages Limited for an agreed combined purchase price of USD 427 million subject to certain adjustments.
  • Lead Partner of the team that acted as Egyptian legal counsel to Bahrain’s Arab Banking Corporation in its acquisition from Blom Bank SAL of its entire shareholding stake in Blom Bank Egypt amounting to 99.4% for a purchase price amounting to approximately USD 425 million. The transaction was executed on the Egyptian Exchange through launching a mandatory tender offer on up to 100% of the shares of Blom Bank Egypt.
  • One of the lead partners leading the team that acted on behalf of EFG Hermes and the Sovereign Fund of Egypt in their landmark transaction of acquiring 76% of the Arab Investment Bank for a total amount of EGP 3.8 Billion. The acquisition was executed through a capital increase that increased the paid-in capital of the Bank to EGP 5 Billion, making it compliant with the regulatory requirements of the Egyptian Banking Law.
  • Lead Partner of the Team that acted as the Egyptian Counsel of IBM with respect to the implementation in Egypt of their separation/spin off of the IT Infrastructure Services unit of the Global Technology Services Division into Kyndryl, a new separate company listed on the NYSE.
  • Lead Partner that acted on behalf of Al Ahli United Bank in the acquisition from IFC of its 10% stake in AUB Egypt, which was executed through the launch of a mandatory tender offer by Ahli United Bank alongside Misr Strategia to acquire the remaining 14.52% stake, with a transaction value of approximately EGP 1.29 Billion.
  • Lead Partner that acted on behalf of Sika AG in its indirect acquisition, through its Egyptian Target Sika Egypt, of 98.89% of the shares of Modern Waterproofing Company, a listed company and market leader/manufacturer of roofing and waterproofing systems. The transaction was executed through launching of a mandatory tender offer on up to 100% of the shares of MWP. Sika acquired 98.89% of MWP’s shares at a price of EGP 3.91 per share. The transaction is valued at approximately EGP 500 million. This transaction was among the first transactions to successfully close on the EGX during the outbreak of the COVID pandemic, as well as the worldwide lockdowns and travel restrictions.

Publications

  • Dr. Badawy has authored the Egyptian national report for the IBA Toolkit on Insolvency and International Arbitration published in January 2021.

Academic Qualifications

Dr. Badawy has obtained a BSC in Law from Cairo University in 1992, a master’s degree from the Institute of International Business Law (Institut De Droits des Affaires Internationals), Cairo University in collaboration with the Sorbonne in 1994, a master’s degree (D.E.S.S. (Diplôme D’études Supérieures Spécialisées) in Litigation and Arbitration from the University of Paris II Assas in 1996, and finally a Ph.D in International Arbitration from the University of Paris I Sorbonne in 2001 with honors. The thesis title was ((“L’Arbitre International et Les Règles Matérielles Uniformes”).

  • Dr. Badawy is a member of the Egyptian Bar Association since 1992.
  • Dr. Badawy is also a member of the American Chamber of Commerce in Egypt.
  • Dr. Badawy is an independent board member on the board of Abu Dhabi Commercial Bank Egypt.
